"In Search of Good Directors:
A Guide to Building Corporate Governance
in the 21st Century."
The articles in this book have been generously contributed
by numerous individuals and organizations, and represent their
efforts over a period of 10 years.
Section I is designed to give readers an overview of the
necessary conditions and institutions that need to be in place
in order for corporate governance to bear fruit. It also analyzes
recent corporate governance trends and reforms.
Section II of this book focuses on the crucial role that
corporate boards play in fostering corporate governance in
diverse internal and external environments.
Section III provides a variety of established, as well as
newly developed, corporate governance tools for directors
and managers. These principles, codes, techniques, corporate
governance scorecards, and international ratings were made
available by numerous organizations and individuals worldwide
that are actively promoting sound corporate governance.
Section IV addresses one of the most urgent issues facing
most economies today: how to institute corporate governance
in family-owned firms. The articles in this section offer
guidance and techniques from private sector members and associations
across the globe that have had the courage to break new ground
in this intricate environment.
In recent years civil society initiatives to institute corporate
governance in emerging, developing and transitional economies
have taken off. CIPE is proud to have been part of these efforts,
having supported close to 50 corporate governance projects
in 17 countries in all regions of the world, beginning in
1992. Section V draws from the most recent initiatives, and
features newly developed and innovative approaches to promoting
corporate governance that are tailored to local and regional
realities across the globe.
The pieces in this volume are intended to serve as practical
tools for corporate directors as they strive to meet the highest
standards of corporate governance. This book is designed for
all of those leaders and organizations in developing and new
market economies who continue to strive for excellence.
